AURA Terms and Conditions

Effective date: November 1, 2026
Last updated: November 1, 2026

Welcome to AURA. These Terms and Conditions (the "Terms") are a legally binding agreement between you and Sapphire Labs, LLC d/b/a AURA Fit ("AURA," "we," "us," or "our"). They govern your use of:

  • the AURA mobile application (the "App");
  • aurafit.io and any other website we operate (the "Website"); and
  • our waitlist, emails, promotions, events, and support (together with the App and Website, the "Services").

Please read these Terms carefully. They include a disclaimer of warranties (Section 13), a limitation of liability (Section 14), and, for users in the United States, a binding arbitration agreement and class action waiver (Section 18) that affect how disputes are resolved. You can opt out of arbitration as described in Section 18.7.

Our Privacy Policy explains how we handle your personal information and is part of these Terms.

1. Accepting these Terms

You accept these Terms when you create an account, tap a button or check a box indicating that you agree, or otherwise access or use the Services. If you do not agree, do not use the Services.

2. Eligibility

To use the Services, you must:

  • be at least 18 years old and the age of majority where you live;
  • have the legal capacity to enter into a binding contract;
  • not be barred from using the Services under any applicable law; and
  • not have had an AURA account previously suspended or terminated by us, unless we agree otherwise in writing.

By using the Services, you confirm that you meet these requirements.

3. Your account

Some features require an account. You agree to:

  • give accurate, current, and complete information, and keep it up to date;
  • keep your login credentials confidential and not share your account;
  • notify us right away at support@aurafit.io if you suspect unauthorized access; and
  • take responsibility for all activity that happens under your account, unless it results from our own failure to protect it.

You may not create an account for anyone else, use another person's account, or create an account using false information or by automated means.

4. The Services

AURA is a fitness tracking and performance app. It lets you record and review workouts and sessions, see progress, streaks, and personal records, view conditions such as weather for your activities, join Circles with other members, and share your activity, including as images and stickers.

We are continually improving AURA. We may add, change, or remove features, or suspend or discontinue all or part of the Services, at any time. Where a change materially reduces the Services you use, we will try to give you reasonable notice.

4.1 Beta and early access features

Some features may be labeled "Beta," "Early Access," "Preview," or similar. These features are still being tested, may not work as expected, may change or be removed at any time, and are provided without any warranty. Your feedback on them helps us improve, and Section 7.4 applies to it.

5. Health and safety

Please read this section carefully.

5.1 Not medical advice

AURA is for general fitness and informational purposes only. It is not a medical device, and it does not provide medical advice, diagnosis, or treatment. Nothing in the Services creates a doctor–patient or other professional relationship. Do not use AURA to diagnose, treat, or monitor any medical condition, and never ignore or delay seeking professional medical advice because of something you saw in the App.

5.2 Consult a professional

Talk to a qualified health professional before starting any exercise program, increasing your training intensity, or changing your diet, especially if you are pregnant, have a medical condition, are taking medication, or have not exercised recently. Stop exercising immediately and seek medical help if you feel pain, faintness, dizziness, shortness of breath, or any other unusual symptom.

5.3 Assumption of risk

Running, cycling, swimming, and other physical activities carry inherent risks, including injury, illness, and, in rare cases, death. You participate in any physical activity voluntarily and at your own risk, and you are solely responsible for choosing activities that are safe and appropriate for you.

5.4 Stay aware of your surroundings

Do not use the App in a way that distracts you or puts you or others at risk. Do not interact with the App while driving, cycling in traffic, or in any situation that requires your full attention. Follow traffic laws and local rules, and be aware of weather, terrain, water, and other conditions.

5.5 Data accuracy

Metrics such as distance, pace, heart rate, calories, sleep, routes, and weather conditions come from your device, sensors, Apple Health, connected services, and third-party providers. They are estimates and may be inaccurate or incomplete. Do not rely on them for safety, medical, or other critical decisions.

6. Apple Health and other connected services

AURA can connect to Apple Health and other third-party services you choose to link. When you enable a connection:

  • you authorize AURA to read and, where you allow it, write the data types you approve;
  • you can revoke access at any time in your device settings;
  • we handle that data as described in our Privacy Policy, including our commitment never to sell Apple Health data or use it for advertising; and
  • your use of the third-party service is governed by that provider's own terms and privacy policy.

We are not responsible for third-party services, including their availability, accuracy, or any changes they make that affect AURA's features.

7. Your content

7.1 You own your content

"Your Content" means anything you create, upload, record, or share through the Services, including profile information, photos, workouts and sessions, routes, notes, posts, comments, and Circle activity. You keep ownership of Your Content.

7.2 License you give us

So that we can run the Services, you grant AURA a worldwide, non-exclusive, royalty-free, sublicensable (only to our service providers), and transferable (only as part of a business transfer) license to host, store, copy, process, adapt (for example, resize or format), display, and distribute Your Content solely to operate, provide, secure, and improve the Services. This includes showing Your Content to other users according to your settings and generating images, stickers, and link previews when you choose to share.

This license ends when you delete Your Content or your account, except that:

  • copies may remain in backups for a limited time, as described in our Privacy Policy;
  • content you shared with others, such as Circle results, posts, or exported images, may remain visible to them or on other platforms; and
  • we may keep content where required by law or to resolve disputes.

7.3 Your responsibilities

You confirm that you have all the rights needed to share Your Content and that it does not violate these Terms, any law, or anyone else's rights, including privacy and intellectual property rights. You are solely responsible for Your Content and for what you choose to share, including routes or photos that could reveal your location or identify other people.

We do not review all content, but we may remove or restrict any content, at our discretion and without notice, that we believe violates these Terms or could harm AURA, our users, or others.

7.4 Feedback

If you send us ideas, suggestions, bug reports, or other feedback, including through in-app feedback forms, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without compensation or attribution to you. Please do not include confidential information or other people's personal information in feedback.

8. Social features and Circles

AURA includes social features, such as Circles, rankings, comparisons, profiles, and sharing.

  • Be respectful. Treat other members fairly and follow Section 9.
  • Rankings are for motivation. Unless official rules for a specific promotion say otherwise, Circles, streaks, rankings, and comparisons are for personal motivation only and do not involve prizes, money, or other rewards. Do not bet or wager on them.
  • Interactions are your responsibility. You are solely responsible for your interactions with other users. We are not responsible for the conduct of any user, online or offline. Use caution before meeting anyone in person or sharing information that could reveal your location.
  • Circle owners can invite and manage members as the App allows. We may change how Circles work, including season rules and member limits.
  • Reporting. If someone violates these Terms, please report it to support@aurafit.io.

9. Acceptable use

You agree not to, and not to help anyone else to:

  • use the Services for any unlawful, fraudulent, or harmful purpose;
  • harass, threaten, bully, stalk, defame, or discriminate against anyone;
  • post content that is illegal, sexually explicit, hateful, violent, or that infringes anyone's rights;
  • impersonate any person or entity, or misrepresent your identity or affiliation;
  • share anyone else's personal information without their permission;
  • falsify, manipulate, or spoof activity data, routes, or metrics, or otherwise cheat in Circles, rankings, or promotions;
  • access or try to access accounts, systems, or data without authorization;
  • interfere with or disrupt the Services, their security, or other users' use of them;
  • upload viruses, malware, or other harmful code;
  • scrape, crawl, or collect data from the Services by automated means without our written permission;
  • copy, modify, reverse engineer, decompile, or disassemble the App, except where the law expressly allows it;
  • use the Services or their content to build a competing product, or to train artificial intelligence or machine-learning models; or
  • sell, rent, or otherwise commercially exploit the Services without our written permission.

10. Intellectual property

The Services, including the App, Website, software, designs, interfaces, text, graphics, templates, stickers, icons, and the AURA name and logos, are owned by AURA or our licensors and are protected by intellectual property laws. Except for Your Content, all rights not expressly granted to you are reserved.

10.1 Your license to use the App

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on Apple-branded devices that you own or control, for your personal, non-commercial use, as permitted by Apple's Usage Rules.

10.2 Shared images and stickers

You may share images and stickers you create with the App, including AURA branding that is part of them, on social media for personal, non-commercial purposes. You may not remove or alter AURA branding in a misleading way, or use AURA names, logos, or designs to suggest an endorsement or partnership without our written permission.

10.3 Copyright complaints

If you believe content on the Services infringes your copyright, send a notice to support@aurafit.io with: your contact information; a description of the copyrighted work; where the infringing material is located; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may terminate the accounts of repeat infringers.

11. Fees, subscriptions, and promotions

11.1 Paid features

The App is currently offered free of charge. If we offer paid features or subscriptions, the price and terms will be shown before you buy. In-app purchases are processed by Apple and are subject to Apple's terms, including its billing, renewal, cancellation, and refund policies. Except where the law requires otherwise, payments are non-refundable.

11.2 Waitlist and early access

Joining our waitlist does not guarantee access to the App, any feature, or any launch date.

11.3 Promotions

Raffles, contests, giveaways, and events are governed by their own official rules. If those rules conflict with these Terms, the official rules apply to that promotion.

12. Third-party links and services

The Services may contain links to, or let you share content with, third-party websites, apps, and platforms such as Instagram. We do not control them and are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.

13. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT, DATA, AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

WITHOUT LIMITING THE ABOVE, WE DO NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY METRICS, INSIGHTS, WEATHER DATA, OR OTHER INFORMATION WILL BE ACCURATE, COMPLETE, OR RELIABLE; (C) DEFECTS WILL BE CORRECTED; (D) YOUR DATA WILL NOT BE LOST; OR (E) THE SERVICES WILL HELP YOU ACHIEVE ANY PARTICULAR FITNESS, HEALTH, OR PERFORMANCE RESULT.

Some jurisdictions do not allow certain warranties to be excluded, so some of these exclusions may not apply to you.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

(a) AURA AND ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS (THE "AURA PARTIES"), WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

  • your use of, or inability to use, the Services;
  • any physical activity you take part in, or any injury or illness, in connection with the Services;
  • errors, inaccuracies, or omissions in any metrics, data, or content;
  • unauthorized access to or alteration of your account or data;
  • the conduct or content of any other user or third party, online or offline; or
  • any third-party service, device, or platform.

(b) THE AURA PARTIES' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (1) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (2) ONE HUNDRED U.S. DOLLARS (USD $100).

(c) These limits apply to every theory of liability, including contract, tort (including negligence), strict liability, and statute, even if we were told such damages were possible and even if a remedy fails of its essential purpose.

(d) Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, such as liability for fraud, gross negligence, willful misconduct, or, where applicable, death or personal injury caused by our negligence.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless the AURA Parties from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use or misuse of the Services; (b) Your Content; (c) your violation of these Terms or any law; or (d) your violation of anyone else's rights. We may take control of the defense of any such claim, and you agree to cooperate with us.

16. Suspension and termination

16.1 By you

You may stop using the Services at any time and delete your account from Settings in the App. Deleting the App from your device does not delete your account.

16.2 By us

We may suspend, restrict, or terminate your access to all or part of the Services, or delete your account, if:

  • you violate these Terms or our policies;
  • we are required to by law or by a platform we depend on, such as Apple;
  • your use creates risk or possible legal exposure for AURA, our users, or others;
  • your account has been inactive for an extended period; or
  • we discontinue the Services.

Where reasonable and legally permitted, we will notify you in advance and explain why.

16.3 What happens after termination

Your right to use the Services ends immediately. We may delete your account and Your Content as described in our Privacy Policy. Sections that by their nature should survive termination will survive, including Sections 5, 7.2 (to the extent stated), 7.4, 10, and 13 through 20.

17. Changes to these Terms

We may update these Terms from time to time. We will post the updated version in the App and on the Website and update the "Last updated" date above.

If we make material changes, we will notify you by email or in the App at least 30 days before they take effect, unless the change is required by law or needed to address a security issue or misuse, in which case it may take effect sooner. If you do not agree to the updated Terms, you must stop using the Services and may delete your account. Continuing to use the Services after the effective date means you accept the updated Terms. Changes will not apply retroactively to disputes we were already aware of before the change.

18. Dispute resolution and arbitration (United States users)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.

18.1 Informal resolution first

Before starting any arbitration or court proceeding, you and AURA agree to try to resolve the dispute informally. Send a written notice describing the dispute and the relief you seek to support@aurafit.io (or, if AURA starts the process, we will send notice to the email address on your account). If the dispute is not resolved within 60 days of the notice, either party may begin proceedings.

18.2 Binding arbitration

Except as provided in Section 18.4, any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") will be resolved by final and binding individual arbitration, not in court. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, and is governed by the Federal Arbitration Act. The arbitrator, not a court, decides questions about the scope, enforceability, and interpretation of this arbitration agreement, except as stated in Section 18.3.

18.3 Class action and jury trial waiver

YOU AND AURA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may award relief only to the individual party seeking it. YOU AND AURA BOTH WAIVE THE RIGHT TO A JURY TRIAL. If this class action waiver is found unenforceable for a particular claim, that claim must be decided in court and not in arbitration, and only a court may decide the enforceability of this Section 18.3.

18.4 Exceptions

Either party may: (a) bring an individual claim in small claims court if it qualifies; and (b) seek injunctive or other equitable relief in court to protect its intellectual property rights or to stop unauthorized access to the Services.

18.5 Costs and location

Fees will be paid as required by the AAA Consumer Arbitration Rules. The arbitration may be conducted by video conference, by phone, based on written submissions, or in person in the county where you live, at your choice.

18.6 Mass filings

If 25 or more similar arbitration demands are filed against AURA by the same or coordinated counsel, the demands will be administered in batches under the AAA's mass arbitration procedures, to the extent permitted by those rules.

18.7 Your right to opt out

You can opt out of this arbitration agreement by emailing support@aurafit.io within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and your name and the email address on your account. Opting out does not affect any other part of these Terms.

18.8 Time limit

To the extent permitted by law, any claim must be filed within one (1) year after it arises, or it is permanently barred.

19. Governing law and venue

These Terms are governed by the laws of the State of Texas, United States, and applicable U.S. federal law, without regard to conflict-of-law principles. Subject to Section 18, any Dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Collin County, Texas, and you and AURA consent to the personal jurisdiction of those courts.

Consumers outside the United States: if you live in the European Union, the United Kingdom, El Salvador, or another country whose laws give you mandatory consumer protections, nothing in these Terms takes away those protections, and you may bring a claim in the courts of your country of residence where local law gives you that right. Section 18 does not apply to you where local law does not allow it.

20. General terms

  • Entire agreement. These Terms, the Privacy Policy, and any official rules or additional terms you agree to are the entire agreement between you and AURA about the Services and replace any prior agreements.
  • Severability. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent permitted, and the rest of the Terms will remain in effect.
  • No waiver. Our failure to enforce any right or provision is not a waiver of it.
  • Assignment. You may not transfer your rights or obligations under these Terms without our consent. We may transfer ours, including in a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, such as natural disasters, outages of third-party services, war, labor disputes, or government action.
  • Electronic communications. You agree to receive notices and communications from us electronically, by email or in the App, and agree that they satisfy any legal requirement that communications be in writing.
  • Export and sanctions. You confirm that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.
  • No third-party beneficiaries. Except as stated in Section 21, these Terms do not give any rights to third parties.
  • Language. These Terms may be made available in Spanish and other languages. If there is any conflict, the English version controls, unless local law requires otherwise.
  • Headings. Headings are for convenience only and do not affect how these Terms are interpreted.

21. Additional terms for Apple App Store users

If you downloaded the App from the Apple App Store, the following also applies:

  1. Parties. These Terms are between you and AURA only, not Apple Inc. ("Apple"). AURA, not Apple, is solely responsible for the App and its content.
  2. Scope of license. Your license to use the App is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be accessed by other accounts associated with you through Family Sharing or volume purchasing, if available.
  3. Maintenance and support. AURA is solely responsible for providing maintenance and support for the App. Apple has no obligation to provide any maintenance or support services for the App.
  4. Warranty. AURA is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the App. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
  5. Product claims. AURA, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession or use of it, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar laws, including in connection with the App's use of HealthKit.
  6. Intellectual property. If a third party claims that the App or your possession and use of it infringes that third party's intellectual property rights, AURA, not Apple, is solely responsible for investigating, defending, settling, and discharging the claim.
  7. Legal compliance. You confirm that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
  8. Developer contact. Questions, complaints, or claims about the App should be sent to the address in Section 22.
  9. Third-party terms. You must comply with applicable third-party terms when using the App, such as your wireless data service agreement.
  10. Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple will have the right, and will be deemed to have accepted the right, to enforce them against you as a third-party beneficiary.
